ADVERTISEMENT - PUBLIC CALL FOR COLLECTION OF BINDING OFFERS FOR THE SALE OF REAL ESTATE

  1. Subject of sale:

The property owned by the Seller, NLB Komercijalna Banka AD Beograd with the share size of 1/1:

Office building "Palata Beskuca", surface area 1,693m2, structure P+3+Pk, located in the Old Town of Kotor, Montenegro, registered in LR 87, KO Kotor II, at c.p. 120, building number 1, PD 1, 2, 3, 4, 5, 6.

  1. Terms of sale

The property is sold as a whole, in the existing - "as seen" condition, without the buyer's right to subsequent complaints. The seller is not responsible for material defects of the real estate and does not give guarantees regarding the areas specified in the land registre documents.

Regard to this, all interested parties can request additional information and notification and inspect the condition of the real estate on working days from 10 a.m to 2 p.m. starting on September 9, 2022 year, ending with 01.10.2022 year, under the condition of prior written address and announcement to the e-mail address at least 72 hours before the desired appointment: REAMprodaja@nlb.me (contact person Aleksandar Janković, office: +382 20/674-900, mobile: +382 69/085- 025).

The final purchase price of the real estate will be determined after the bidding process.

The costs of related taxes, registration of real estate, taxes, the procedure for entering in possession/state, notarization of the purchase agreement and other related costs are the buyers obligation.

  1. Terms of application

The right of participation in the advertisement have companies and individuals who meet the conditions of the advertisement.

The binding offer must contain all information about the bidder and the method of payment of the purchase price and all attachments, i.e.:

  • Information about the bidder:
    • o individuals: first and last name, residential address, Pesonal ID number, ID card number, e-mail address, contact phone number and bidder's signature;
    • o entrepreneurs: first and last name, residential address, Personal ID number, ID card number, e-mail address, contact phone number and bidder's signature, extract from the register of the competent authority and confirmation of the tax identification number;
    • o legal entities: name and seat of the company, registration certificate, email address, contact phone number, signature and stamp of the authorized person;
    • Subject of offer/purchase;
    • Price (net) in EUR;
    • Information on sources of financing, method and term of payment
    • Term and method of payment;
    • Proof of deposit payment for the seriousness of the offer in the amount of EUR 50,000;
    • Validity period of the offer;
    • Transaction account and bidder's bank.

In addition to the offer, the participant must submit the following attachments (the form of the document can be requested from the seller's representative):

  1. Buyers non relatedness statement;
  2. Statement on the loss of the right to return the deposit

The deposit is paying to the Company's bank account 908 - 20501 - 70 at NLB Komercijalna Banka AD Belgrade, with a reference number 43813719 - 0042035000059. Instructions for foreign payment must be requested from the seller's representative. In case the offer is not accepted by the Company, the deposit will be returned. In the event that the bidder whose offer was accepted refuses to conclude the contract, or concludes the contract, and does not pay the purchase price within the deadline, the deposit will not be returned.

The offer is delivering by courier service or by hand delivery to the address: NLB Komercijalna banka AD Belgrade, Sector for collection and management of problematic claims, Svetogorska 42-44, 11000 Belgrade, Serbia until 05.10.2022. year, on weekdays from 8:00 a.m. to 4:00 p.m.

Offers are submitting in a sealed envelope clearly marked: "Offer for the purchase of real estate according to the advertisement dated September 5, 2022." - Palata Beskuća - DO NOT OPEN".

If the bidder wishes to change or withdraw the bid, it must be submitted within the deadline prescribed for the submission of bids in written form in a sealed envelope marked "DO NOT OPEN - Bid for the purchase of real estate according to the advertisement dated 05.09.2022." with the addition of information - CHANGE or WITHDRAWAL. Offers that arrive after 05.10.2022. until 12 o'clock will not be considered.

NOTES:

By submitting a binding offer, the buyer agrees and accepts all the terms of the advertisement.

Incomplete and untimely bids will not be considered.

An offer in which the price is not specified, or is given descriptively, will not be considered. The offer must include a deadline for payment of the purchase price and must be given as binding and in accordance with the RS ZOO. Bidders may be contacted for additional negotiations.

The seller reserves the right to cancel the procedure according to this public advertisement, as well as not to select the most favorable bidder in case of receipt of inappropriate, unsatisfactory and/or incomplete offers.

The seller can at any time, without explanation and material and/or legal consequences, abandon the sale if he decides that it is in his interest and is not obliged to give an explanation for such a decision, nor will he be obliged to compensate any damage that an interested party would as a participant of this advertisement could possibly have on the occasion of participation in this procedure.

  1. Selection of the most favorable bidder

The process of collecting, opening bids and ranking bidders is carried out by the Commission for the selection of the most favorable bidder.

The criterion for choosing the most favorable bidder is the amount of the offered purchase price and the deadline for payment of the purchase price.

The commission for the selection of the most favorable bidder determines the sequence of valid bids. In the event that two or more bidders offer the same purchase price, the Seller reserves the discretion to select the most favorable bidder.

Bidders who have submitted a bid do not have the opportunity to attend the opening of bids.

If only one offer arrives at the ad, it will be taken into consideration.

If the bidder whose offer was declared the most favorable does not sign the contract within 30 days from the date of receipt of the invitation to conclude the contract, it will be considered that he has abandoned the sale and will be held liable for damages to the seller.

After the commission's decision on the selection of the most favorable Bidder, the Seller's Representative will inform the participants of the advertisement about the selection of the most favorable offer.
